Nomad Capital seeks competition clearance for Maritsa East 3 acquisition

Competition authority review of proposed control transfer

Nomad Capital Group has asked Bulgaria’s Commission on Protection of Competition to approve its proposed acquisition of the companies that own and operate the Maritsa East 3 thermal power plant. The request relates to a transfer of control over the asset.

The notification submitted to the regulator covers ContourGlobal Maritsa East 3 and ContourGlobal Operations Bulgaria. The competition authority said the transaction could affect Bulgaria’s electricity generation and trading markets.

The regulator opened a seven-day window for comments from interested parties following the filing. The review is part of the next formal step in the transfer of control.

Transaction structure and ownership stakes

The filing follows an agreement announced earlier in the year under which ContourGlobal would sell its 73% interest in the lignite-fired power station to the Bulgarian investor. State-controlled National Electricity Company (NEK) holds the remaining 27% stake.

The authority will assess whether combining the generation asset with a company linked to an active energy trader could materially affect competition in domestic power production or wholesale trading.

Nomad Capital Group was incorporated in Sofia in March 2026. It is wholly owned by Nomad Energy Company, a licensed Bulgarian electricity and natural gas trader.

The proposed acquisition therefore links the Maritsa East 3 operating entities with a group that includes an electricity and natural gas trading business.
