Region: Ownership dispute and debt claims strain relations between Srbijagas and Gas Promet

Serbian state-owned gas company Srbijagas is currently in a dispute with Gas Promet from Pale, located in the Republic of Srpska (RS), over unresolved property and legal matters.

The conflict arose after Srbijagas initiated legal proceedings against Gas Promet, which denies owing a debt of 1.5 million euros and refuses to record it in its financial statements.

The dispute stems from a 2019 agreement that addressed property rights, legal issues, and corporate relations. According to the agreement, Srbijagas acquired a 39.14 percent ownership stake in Gas Promet.

Gas Promet, however, disputes the existence of any such debt. In its audit report, the company stated that it responded to the lawsuit in a timely manner, challenging both the legitimacy and the amount of the claim. Gas Promet argues that the matter should be resolved through negotiations involving all three signatories of the 2019 contract: Srbijagas, the Investment-Development Bank (IRB), and Gas Promet.

The 2019 contract made Srbijagas the largest shareholder in Gas Promet, based on its contribution of gas infrastructure that had been used by the RS company for transport since 1993. Through this arrangement, Srbijagas received a 39.14 percent share, while the state retained a 26 percent stake via the Shareholding Fund.

Other notable shareholders include the Pension Reserve Fund (PREF), which holds 10 percent, and the Restitution Fund with a 5 percent share.

Gas Promet remains responsible for managing the natural gas transport system in the Republic of Srpska.
